Yellowbrick Terms of Service

Welcome to Yellowbrick! These Terms of Service (“Terms”) establish a legally binding agreement between you and Yellowbrick Learning, Inc. (doing business as Yellowbrick, “we,” “us,” or “our”). These Terms govern your access to and use of our websites, mobile applications, and online educational certificate programs (collectively, the “Service”).
PLEASE READ CAREFULLY: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER. THEY AFFECT YOUR LEGAL RIGHTS AND DICTATE HOW DISPUTES BETWEEN YOU AND YELLOWBRICK WILL BE RESOLVED.
1. Eligibility and Account Registration
- Age Requirements: The Service is not intended for individuals under the age of 13. By using the Service, you represent that you are at least 13 years old. If you are under the age of majority in your jurisdiction, you must have the consent of your parent or legal guardian to use the Service.
- Account Security: You must provide accurate, current, and complete information during registration. You are solely responsible for safeguarding your account credentials and for any activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
2. Subscriptions, Payments, and Cancellations
- Fees and Billing: Certain aspects of the Service, including enrollment in our Certificate Programs, are provided for a fee. By providing a payment method, you authorize us (and our designated third-party payment processors) to charge the applicable fees, including any taxes.
- Automatic Renewal: If you enroll in a subscription-based program, your subscription will automatically renew at the end of each billing cycle unless you cancel it. You authorize us to charge your payment method for the renewal term.
- Refund Policy: You may cancel your enrollment and receive a full refund within twenty-four (24) hours of your initial purchase. If you cancel within seven (7) days of your initial purchase, you are eligible for a refund less a standard administrative fee. After seven (7) days, all fees are non-refundable unless otherwise required by applicable law.
3. Intellectual Property and Acceptable Use
- Yellowbrick Property: The Service, including all course materials, videos, software, branding, and text (the “Yellowbrick Content”), is the exclusive property of Yellowbrick and its licensors. We grant you a limited, personal, non-exclusive, non-transferable license to access the Service solely for your educational, non-commercial use.
- AI and Machine Learning Restriction: You may not use, scrape, crawl, download, or authorize third parties to use any Yellowbrick Content or user data for the purpose of developing, training, fine-tuning, or validating any artificial intelligence or machine learning models without our express written consent.
- Prohibited Conduct: You agree not to distribute, modify, create derivative works of, or publicly display any Yellowbrick Content. You further agree not to interfere with the security of the Service, attempt to reverse-engineer our software, or use the Service to harass or harm others.
4. User Content and Platform Operations
- User Content License: You retain ownership of the assignments, projects, testimonials, and materials you voluntarily submit to the Service (“User Content”). By submitting User Content, you grant Yellowbrick a worldwide, royalty-free, perpetual, non-exclusive license to host, display, reproduce, and distribute your User Content for the purpose of operating the Service. Furthermore, you grant us the right to utilize your non-confidential User Content (such as exemplary projects, video submissions, and testimonials) for marketing, advertising, and promotional purposes across any media, without further consent or compensation.
- AI-Assisted Features and Evaluations: To continually enhance the learning experience, we may utilize artificial intelligence and machine learning tools to generate curriculum elements, facilitate interactions, and evaluate project submissions. You acknowledge that automated assessments and AI-generated feedback may differ from subjective human evaluation and agree to accept these programmatic results as final.
5. Disclaimers and Limitation of Liability
- No Warranty: The Service is provided on an “as is” and “as available” basis. Yellowbrick makes no representations or warranties of any kind, express or implied, regarding the accuracy, reliability, or outcomes of the Certificate Programs. We do not guarantee academic credit, licensure, or employment as a result of using the Service.
- Limitation of Liability: To the maximum extent permitted by law, Yellowbrick shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your use or inability to use the Service. In no event shall Yellowbrick’s aggregate liability exceed the total amount paid by you to Yellowbrick in the six (6) months preceding the claim.
6. Dispute Resolution: Binding Arbitration and Class Action Waiver
Please read this section carefully as it affects your rights.
- Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting us in writing. If a dispute is not resolved within sixty (60) days of submission, either party may initiate arbitration.
- Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding, individual arbitration, rather than in court. The arbitration will be administered in accordance with the rules of the selected arbitration provider (e.g., JAMS or NAM).
- Class Action Waiver: All claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims.
- Batch Arbitration: To ensure efficient resolution, if 100 or more similar demands for arbitration are filed against Yellowbrick by or with the assistance of the same law firm or organization, the arbitration provider shall administer the demands in batches of up to 100 claims per batch. No further batches shall be processed until the prior batch is fully adjudicated or resolved. You agree to this batching process and understand it may delay the adjudication of your individual claim.
7. Export Controls and Sanctions
The Service is subject to United States and international export controls and economic sanctions laws. By accessing the Service, you represent and warrant that you are not located in, or a resident of, any country or territory subject to comprehensive U.S. trade sanctions (including but not limited to Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, and Luhansk regions of Ukraine), nor are you listed on any U.S. government list of prohibited or restricted parties. You agree not to use, export, or transfer any portion of the Service in violation of these laws.
8. Miscellaneous
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
- Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
- Changes to Terms: We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the date at the top of these Terms or by providing direct notice through the Service. Your continued use of the Service constitutes acceptance of the revised Terms.
